Terms of Service

1. Acceptance of Terms

By installing or using the Inference Control Plane (“ICP”) software provided by SimpleGoose, Inc. (“SimpleGoose”), you agree to these Terms of Service. If you are using ICP on behalf of an organization, you represent that you have authority to bind that organization.

2. Software License

SimpleGoose grants you a non-exclusive, non-transferable license to install and use ICP in accordance with your subscription tier (Free, Pro, or Enterprise). ICP is licensed software — you are not purchasing infrastructure or managed services.

  • Free tier: Up to 1,000 routed requests per day. All routing features included.
  • Pro tier: Unlimited routed requests. Includes ICP Agent for model deployment automation. Usage-based billing after included requests.
  • Enterprise tier: Custom terms, SLAs, and volume pricing via annual contract.

3. Your Responsibilities

You are responsible for:

  • Providing and maintaining the cloud infrastructure (Kubernetes clusters, GPU nodes, provider accounts) on which ICP runs.
  • Managing credentials for your AI backends (AWS Bedrock, Azure OpenAI, Vertex AI, self-hosted models).
  • Compliance with your AI providers' terms of service and acceptable use policies.
  • The content of prompts and outputs processed through ICP.

4. Data and Privacy

ICP runs entirely within your cloud environment. SimpleGoose does not access, store, or process your inference data. See our Privacy Policy for details on our zero-exfiltration architecture.

5. Billing and Payment

ICP is available through AWS Marketplace, Azure Marketplace, and GCP Marketplace. Billing is handled entirely through your cloud marketplace account. SimpleGoose does not bill you directly. Marketplace purchases may count toward your Enterprise Discount Program (EDP) commitment.

6. Limitation of Liability

ICP is a routing and decision layer. SimpleGoose is not responsible for the availability, accuracy, or output quality of your AI backends. ICP makes routing decisions based on the policies, cost models, and health data you configure. To the maximum extent permitted by law, SimpleGoose's total liability is limited to the fees you paid in the 12 months preceding the claim.

7. Warranty Disclaimer

ICP is provided “as is” without warranty of any kind, express or implied. SimpleGoose does not guarantee specific cost savings, latency improvements, or routing outcomes.

8. Termination

You may stop using ICP at any time by uninstalling the software. SimpleGoose may terminate your license if you breach these terms. Upon termination, your ICP installation stops functioning after the current billing period. Your data remains in your environment — SimpleGoose has nothing to delete.

9. Changes to Terms

We may update these terms. Material changes will be communicated via the product changelog or email. Continued use after changes constitutes acceptance.
